Institutional Terms of Service
1. Contractual Framework & Acceptance of Terms
These Institutional Terms of Service ("Terms", "Agreement") constitute a legally binding contractual agreement between you (whether acting individually or on behalf of an incorporated entity, investment fund, family office, or corporate treasury, collectively "User", "Client", or "you") and Nodezvia ("Nodezvia", "Platform", "we", "us", or "our").
By registering an account, integrating via programmatic API keys, accessing Multi-Party Computation (MPC) vault infrastructure, or executing financial transactions, you irrevocably accept and agree to be bound by these Terms, our Privacy Policy, and our Risk Disclosure Statement. If you do not agree with any covenant contained herein, you are strictly prohibited from accessing or utilizing the Platform.
2. Regulatory Status & Eligible Jurisdictions
The services provided by Nodezvia are available exclusively to legal entities and individuals who satisfy strict eligibility criteria:
- Legal Age & Capacity: Natural persons must be at least 18 years of age (or the age of legal majority in their home jurisdiction) and possess unencumbered legal capacity to execute binding financial contracts.
- Sanctions & Geographic Blacklists: The Platform is strictly unavailable to citizens, residents, or entities organized in jurisdictions subject to comprehensive sanctions by the United States (OFAC), the United Nations Security Council, the European Union, or HM Treasury, including but not limited to Cuba, Iran, North Korea, Syria, and the Crimean/Donetsk/Luhansk regions.
- FATF High-Risk Jurisdictions: Entities operating in jurisdictions designated as non-cooperative by the Financial Action Task Force (FATF) are excluded from onboarding.
3. Account Verification, Due Diligence & Travel Rule
To prevent financial crime and ensure total compliance with international AML/CTF mandates, access to deposit, custody, and settlement rails is contingent upon successful completion of our Customer Due Diligence (CDD) and Enhanced Due Diligence (EDD) procedures.
Nodezvia strictly enforces FATF Recommendation 16 ("Travel Rule"). All virtual asset transfers originating from or received into the Platform must include verified originator and beneficiary identifying data. Transactions lacking mandatory counterparty compliance verification will be placed on administrative quarantine or returned to the originating address at the sender’s expense.
4. Multi-Party Computation (MPC) Custodial Architecture & Asset Segregation
Nodezvia operates an institutional-grade Multi-Party Computation (MPC) custody framework based on Threshold Signature Schemes (TSS). Private keys are never materialized in monolithic form; signing power is divided across isolated cryptographic shards managed across hardened infrastructure.
- Bankruptcy-Remote Segregated Custody: All digital assets held within client vaults are 100% segregated from Nodezvia’s operational corporate balance sheets. In the unlikely event of corporate insolvency or restructuring, client digital assets are not part of the general bankruptcy estate and remain the sole unencumbered property of the Client.
- No Rehypothecation: Nodezvia does not lend, stake, pledge, or rehypothecate client assets without explicit, separate written authorization.
5. Transaction Execution, Smart Order Routing & Irreversibility
All orders placed via our web interfaces or programmatic FIX/REST/WebSocket APIs are routed through our Smart Order Routing (SOR) engine across aggregated global liquidity venues.
Once a transaction is cryptographically signed and confirmed on its respective blockchain ledger, it is legally and technically irreversible. Nodezvia cannot reverse, roll back, or cancel on-chain transactions under any circumstances. You bear sole responsibility for verifying recipient addresses, asset types, network protocols, and transfer parameters prior to authorization.
6. Prohibited Activities & Immediate Account Termination
You agree not to engage in or facilitate any of the following prohibited behaviors:
- Market manipulation, including wash trading, spoofing, layering, front-running, or quote stuffing.
- Routing funds through sanctioned anonymizing mixers, tumblers, or decentralized darknet marketplaces.
- Reverse engineering, decompiling, or exploiting vulnerability surfaces in Nodezvia’s API gateways or MPC cryptographic routines.
- Using the Platform to evade tax liabilities, international sanctions, or capital control laws.
7. Fee Schedules, Network Gas & Liquidation Rules
You agree to pay all applicable transaction fees, custody management charges, and on-chain network gas fees as published in our institutional fee schedule. On-chain gas fees are determined dynamically by underlying blockchain network congestion and are non-refundable regardless of execution outcome.
8. Disclaimer of Warranties & Force Majeure
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. Nodezvia disclaims all warranties of any kind, whether express, implied, statutory, or otherwise. Nodezvia shall not be held liable for failure or delay in execution caused by events beyond our reasonable control (Force Majeure), including blockchain hard forks, consensus halts, severe network congestion, cyberattacks against third-party liquidity providers, or governmental regulatory intervention.
9. Comprehensive Limitation of Liability
To the maximum extent permitted under applicable law, in no event shall Nodezvia, its directors, officers, employees, affiliates, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, data, or digital asset market depreciation, arising out of or relating to the use of or inability to use the Platform.
10. Mandatory Binding Arbitration & Class Action Waiver
Any dispute, controversy, difference, or claim arising out of or relating to these Terms shall be resolved exclusively through final and binding arbitration administered by the London Court of International Arbitration (LCIA) or the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You irrevocably waive any right to bring or participate in class action lawsuits, collective arbitrations, or private attorney general representative proceedings.
